§ 1. Scope of Application
These General Terms and Conditions apply to all contracts between Nicole Jodlbauer and her clients in the field of graphic design, branding, web design, and related creative services, unless otherwise expressly agreed in writing.


§ 2. Offer and Conclusion of Contract
Offers are non-binding and subject to change.
A contract is concluded upon written confirmation of the offer by the client (e.g. via email, WhatsApp, Discord, SMS or comparable messaging platforms).


§ 3. Scope of Services
The specific scope of services is defined in the respective offer.
The price includes the final developed designs or services in the agreed formats (e.g. PNG, JPG, GIF, MP4, PDF or web formats).
Open working files (e.g. PSD, AI, After Effects, Figma, Procreate) are not included in the offer and will only be provided for an additional fee.


§ 4. Client’s Obligations to Cooperate
The client is obliged to provide all content required for the execution of the project (e.g. texts, images, logos, access data) in a timely manner.
Delays caused by a lack of cooperation may result in schedule changes and are not the responsibility of Nicole Jodlbauer.


§ 5. Corrections (Revisions)
2–3 revision rounds are included per agreed service.
Further changes, additional variations or subsequent adjustments will be charged separately based on effort.


§ 6. Usage Rights
Upon full payment, the client receives a simple, non-transferable right to use the created designs or services for the agreed purpose.
This includes, in particular, usage within the originally intended context (e.g. social media, streaming, websites, printing of business materials such as business cards or similar items).
Copyright remains with Nicole Jodlbauer.
Any transfer to third parties, modification by third parties or use outside the agreed purpose requires prior written consent.
Any extended use, especially if the design becomes part of a product for sale (e.g. merchandise such as clothing, plush toys, printed goods or digital products), is not included in the standard price and requires a separate agreement.
This may be arranged either as a one-time license fee or as a percentage-based revenue share.


§ 7. Use of Third-Party Materials and AI Tools
If third-party materials are used within a project (e.g. stock images, fonts, graphic elements), Nicole Jodlbauer ensures that the necessary usage rights are obtained to the required extent. The respective license information will be provided to the client upon request.
AI-based tools may be used within the design process. In such cases, the client will be transparently informed about the extent of their use.
It is noted that AI-generated content generally does not grant exclusive usage rights or licenses.


§ 8. Open Files
The transfer of open working files is only provided for an additional fee.
Even in the case of transfer of open files, copyright remains with Nicole Jodlbauer unless explicitly agreed otherwise.


§ 9. Compensation and Payment Terms
All stated prices are exclusive of statutory VAT unless explicitly stated otherwise. This also applies to prices agreed verbally or via electronic communication channels (e.g. email, WhatsApp, Discord, SMS). The applicable VAT will be shown separately on the invoice.
Unless otherwise agreed, the invoice amount is due within 14 days from the date of invoicing without deduction.
Nicole Jodlbauer reserves the right to require a deposit before the start of the project.
Work on the project generally begins only after receipt of the agreed deposit.
Final files or project activations (e.g. websites) will only be delivered after full payment has been received.
In individual cases, a deposit may be waived upon written agreement (e.g. in long-term collaborations).


§ 10. Changes After Project Completion
Changes or extensions can also be requested after the completion of the project.
These will be charged separately based on effort.


§ 11. Withdrawal and Cancellation
Cancellation of the project by the client is generally possible.
If the cancellation occurs before the start of the design work, a previously paid deposit may be retained in full or in part as a fee for effort and reservation, provided that preparatory work has already been carried out or capacities have been allocated for the project.
If the cancellation occurs after the start of the design work, the services provided up to that point will be invoiced proportionally.
At a minimum, a flat compensation of 30% of the agreed total price will be due.
Withdrawal due to non-contractual performance is only permitted if Nicole Jodlbauer has first been given the opportunity to remedy the issue within the agreed revision rounds.
Nicole Jodlbauer is entitled to withdraw from the contract if the collaboration is not reasonable or cannot be properly carried out for important reasons.
This applies in particular in cases of lack of cooperation by the client, repeated significant change requests outside the agreed scope or inappropriate behavior.
In such cases, the services rendered up to that point will be invoiced proportionally.
Any deposit already paid will be offset against these services.
No further refund claims exist if work has already been carried out.


§ 12. Liability
Nicole Jodlbauer shall only be liable for damages caused by gross negligence or intent.
No liability is assumed for content, materials or data provided by the client.
Liability for indirect damages, consequential damages or loss of profit is excluded.
No liability is assumed for the economic success of the provided services.
No liability is assumed for technical issues, outages or limitations outside the control of Nicole Jodlbauer.


§ 13. Reference Use
Nicole Jodlbauer is entitled to use the created work for reference purposes (e.g. portfolio, website, social media), unless otherwise agreed.


§ 14. Confidentiality
Both parties agree to treat all information obtained during the collaboration as confidential and to use it exclusively for the execution of the respective project.


§ 15. Jurisdiction and Applicable Law
Austrian law shall apply.
The place of jurisdiction, insofar as legally permissible, is the place of business of Nicole Jodlbauer.


§ 16. Amendments to the GTC
Nicole Jodlbauer reserves the right to amend these Terms and Conditions for future agreements.
Clients will be informed of any changes in an appropriate manner.
If a client does not agree to the updated Terms and Conditions, they have the right to terminate the agreement. In such a case, any services already rendered will be invoiced proportionally, and no further claims to continuation of the project arise.


§ 17. Final Provisions
Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
